1. Scope

These terms govern the sale, delivery, installation, licensing, usage, warranty, support, and payment for all products supplied by Needle Point India, unless otherwise agreed in writing.

2. Order Confirmation

• Orders are confirmed only upon receipt of official Purchase Order (PO) or advance payment, whichever is applicable.
• Once confirmed, orders cannot be cancelled or modified without written approval.

3. Pricing & Taxes

• All prices are exclusive of GST and applicable government taxes, unless specified.
• GST will be charged as per prevailing laws.
• Buyer GST details/Pan Details must be accurate; Needle Point India is not responsible for filing issues arising from incorrect GST information.

4. Payment Terms

• 100% advance payment is required while booking the order or before Installation, unless otherwise agreed in writing.
• Payments once made are non-refundable.
• Services once delivered or activated will not be taken back or exchanged.

5. Delivery Timeline

• Standard delivery timeline: 15 working days for ECM Software Services & for Machinery 60 working days from the date of receipt of PO / advance payment.
• Delivery timelines may vary due to logistics, technical, or force majeure conditions.

6. Installation & Training

• Installation and basic operational training will be provided as per the agreed scope.
• Electrical requirements, power stability, space, and internet connectivity (if required) must be arranged by the customer.
• Delays caused due to site unpreparedness are not the responsibility of Needle Point India.

7. Software License & Usage (ECM / CAD / Calibrator Software)

• Software is licensed, not sold.
• License is issued to a single user / single system, unless otherwise specified.
• Copying, sharing, reverse engineering, or unauthorized distribution is strictly prohibited.

License Modes:

• Full Access Mode: Software operates with full features during the valid license period unless otherwise specified.
• Recharge Mode: After license expiry, the software shifts to limited functionality until renewal.
• License mode depends on the customer-selected plan at the time of purchase.

8. Warranty

• Machinery warranty is provided as per manufacturer or supplier policy.
• Warranty covers manufacturing defects only.
• Warranty does not cover damage due to power fluctuations, mishandling, improper usage, unauthorized repairs, or external factors.
• ECM software services, as a digital product, no physical warranty is applicable. Free updates will be provided. Needle Point India provides the Image Calibrator only for ECM software service access not sold and is not responsible for its service or support after the warranty period.

9. Support & Service

• Technical support is provided during working hours via phone, remote access, or on-site (if applicable).
• During the Warranty period, no service charges will be claimed.
• On-site service may involve additional service and travel charges, if machinery under the warranty period this Charges may apply.
• Consumables, accessories, and wear-and-tear parts are not covered under free service.

10. Returns & Refunds

• No return, refund, or exchange is allowed once the product/software/service is delivered or activated.
• Demo installations or trial services are non-refundable.

11. Limitation of Liability

• Needle Point India shall not be liable for indirect, incidental, or consequential losses including business loss, data loss, or production downtime.
• Maximum liability shall not exceed the invoice value of the product supplied.

12. Confidentiality

All technical documents, pricing, software, and training materials shared are confidential and must not be disclosed to third parties.

13. Governing Law & Jurisdiction

These terms are governed by the laws of India. Jurisdiction shall be Theni, Tamil Nadu court only.

14. Acceptance

By placing an order or making payment, the customer confirms that they have read, understood, and agreed to these Terms & Conditions.
